These Terms & Conditions ("Terms") govern your access to and use of The Emerald Coast Edit (the "Service"), provided by The Emerald Coast Edit ("we", "us", "our"). By creating an account or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
The Emerald Coast Edit is an AI-assisted workspace built for real estate agents on Florida's Emerald Coast. It helps agents draft listing marketing content, extract data from real estate contracts, build transaction timelines, and manage client-facing follow-ups within an approval workflow. You are responsible for reviewing and approving all AI-generated output before it is shared with clients, counterparties, or the public.
2. Eligibility and Accounts
You must be of legal age in your jurisdiction to create an account. If you use the Service on behalf of a brokerage or other organization, you represent that you have authority to bind that organization to these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account, and you agree to provide accurate information and keep it updated.
3. Acceptable Use
You agree not to misuse the Service. In particular, you must not:
- Use the Service for any unlawful, fraudulent, or deceptive purpose;
- Send spam or unsolicited communications;
- Infringe any third party's intellectual property, privacy, or publicity rights;
- Introduce malware, probe, scrape, or otherwise interfere with the Service's security or integrity;
- Reverse engineer, resell, or redistribute the Service; or
- Attempt to circumvent usage limits, feature gates, or technical restrictions.
4. Acceptable Use of AI Features
The Service uses generative AI to draft marketing copy, summarize contracts, and suggest client communications. You agree not to use the AI features to generate:
- Illegal content, harassment, hate speech, or content that promotes violence;
- Sexually explicit, exploitative, or CSAM material;
- Deepfakes or content designed to deceive as to identity, endorsement, or authenticity;
- Malware, phishing content, or content designed to circumvent security controls;
- Content that violates fair housing laws, real-estate advertising rules, or MLS rules; or
- Prompts designed to jailbreak or bypass the Service's safety controls.
You are responsible for your prompts and inputs, for how you use AI outputs, for verifying the accuracy of AI outputs before relying on or publishing them, and for ensuring you have all rights necessary in any content you submit as input. AI outputs may be inaccurate, incomplete, or out of date, and are not a substitute for professional legal, tax, financial, or brokerage advice. We may remove, restrict, filter, or refuse to generate outputs, and may suspend accounts that repeatedly generate infringing or prohibited content. Rights-holders may report claimed infringement to legal@theemeraldcoastedit.com.
5. Your Content
You retain ownership of the content you upload or input into the Service ("User Content"). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display User Content solely to provide and improve the Service and to comply with law.
6. Our Intellectual Property
We retain all right, title, and interest in the Service, including our software, models, prompts, templates, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have purchased.
7. Payment, Subscriptions, and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms in addition to our Refund Policy.
Paid subscriptions renew automatically for the interval you selected (monthly or annual) until you cancel. You can cancel from your account settings at any time; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for the unused portion of a period except as described in our Refund Policy.
8. Service Availability
We work to keep the Service available and reliable, but we do not warrant that it will be uninterrupted, error-free, or free of security incidents. Third-party services, AI providers, and internet infrastructure may cause outages outside of our control.
9. Warranty Disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI outputs are accurate or suitable for any specific transaction.
10. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence where such exclusion is prohibited by law.
11. Indemnity
You will defend, indemnify, and hold us harmless from claims arising out of your User Content, your use of AI outputs, your violation of these Terms, or your violation of applicable law.
12. Suspension and Termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time by canceling your subscription. Upon termination, your right to use the Service ends and we may delete User Content after a reasonable export window described in the Service.
13. Changes to the Service and Terms
We may update the Service and these Terms from time to time. If we make material changes we will notify you through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Okaloosa County, Florida have exclusive jurisdiction over disputes arising out of these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
